1.1 You confirm: Once you register as a user of Dubbing AI voice changer or use Dubbing AI voice change software or services, it means that you have fully understood and agreed to accept this agreement. If you are under the age of 18, please carefully read and fully understand this agreement accompanied by your guardian and use Dubbing AI Voice Changer software and related services after obtaining the consent of your guardian.

2. Service content and software form

2.1Service Content

Unless otherwise specified, any new functions of current services, including new products and newly added services, will be enhanced or strengthened. This agreement applies unconditionally.

2.2 Software form
(1) Users will use the software in the form of a client through a computer, and the details are subject to the information provided by HALO INTERACTIVE PTE. LTD. At the same time, HALO INTERACTIVE PTE. LTD. will continue to enrich the terminals and forms of the software. When using the software, the user should choose the software version that matches the user's terminal, system, etc., otherwise, the user may not be able to use the software normally.
(2) In order to improve user experience, improve service content, ensure the security and functional consistency of this software and services, HALO INTERACTIVE PTE. LTD. will continue to strive to develop new services, and has the right to update this software (these updates may be replaced by software) , modification, function enhancement, version upgrade, etc.), or change or limit some functions of the software, or terminate or suspend the software and related services. After the new version of this software is released, HALO INTERACTIVE PTE. LTD. does not guarantee that the old version of the software will continue to be available and provide corresponding customer service. Please check and download the latest version at any time. The user fully understands and agrees that HALO INTERACTIVE PTE. LTD. owns the above-mentioned rights and can exercise such rights without special notice to the user.
(3) Users fully understand and agree that Dubbing AI Voice Changer only provides real- time voice conversion, voice customization, download, recharge payment and transaction platform services to the majority of users, in addition to related network services related equipment (such as personal computers, mobile phones , and other devices related to accessing the Internet or mobile network) and the required expenses (such as telephone charges and Internet access charges for accessing the Internet, mobile phone charges for using the mobile network) shall be borne by the user .

2.3 License
Use of Dubbing AI Content. Upon your purchase of or access to Dubbing AIContent (free or standard or premium or permanent premium license) and payment of any applicable fees (including applicable taxes), Dubbing AI grants you a non-exclusive right to view, use and display such Content (for content available under subscription only for as long as your subscription remains active), solely through Dubbing AI Tools and Products, and solely for your personal, non-commercial use (except for the monetization generated by content creators through social networks and social media in accordance with these Terms).
The catalogue of Dubbing AI Content is constantly changing, new content can be added and existing content can be removed, at any time. Removal of content from Dubbing AI’s catalogue may also make the content unavailable for any users that have previously obtained this content. You acknowledge and accept that and you will refrain from claiming any right or compensation over deleted content.
Dubbing AI Content is licensed, not sold, to you by Dubbing AI. You may not sell, rent, lease, distribute, broadcast, sublicense or otherwise assign any rights to Dubbing AI Content or any portion of it to any third party. You may not remove any proprietary indicators, notices or labels on Dubbing AI Content.

2.4 Specific to Standard, Premium, and Permanent Premium license
Standard, Premium, and Permanent Premium license can be acquired through a periodic subscription and lifetime subscription (OTL, you pay once and lasts forever). Such paid content can be acquired through different distributors and payment platforms so you must read their own terms and conditions. Renewable subscriptions can be canceled at any time before the next renewal period begins by contacting User Support. The life-time license will remain active until you request the closure of your account. Once you have been unsubscribed, it cannot be reactivated and no refunds will be given. If you wish to obtain a new Standard, Premium, or Permanent Premium license, you would need a new one.

When you purchase a Standard, Premium, or Permanent Premium license, you will have a seven(7) calendar day refund period if you are not satisfied with your purchase. The refund will be managed by the Dubbing support team upon request through our official website or social media channel. When you purchase our products and services from distributors and other third parties you should check their refund policies and instructions (although the 7 day timeline still applies). Standard, Premium, or Permanent Premium license content can be accessed through multiple devices in which you sign in, but can only be used in 2 devices at a time.

3. User usage rules

3.1 Account Registration and Use
(1) Register Account. The user confirms that you should be a natural person, legal person, or other organization with full capacity for civil conduct when you go through the registration process or use the services provided by HALO INTERACTIVE PTE. LTD. in other ways permitted by HALO INTERACTIVE PTE. LTD. If you do not have the appropriate capacity for civil conduct, please register with the consent of your guardian and be represented by your guardian, otherwise you and your guardian shall bear all the consequences arising therefrom in accordance with the law. After your registration is successful, this software will give you a user account and corresponding password. The ownership of this user account belongs to HALO INTERACTIVE PTE. LTD. You can only obtain the right to use this user account. You are not allowed to gift, borrow, rent, transfer or sell account or authorize others to use the account in other ways. You should keep the user account and password properly, and all actions through the user account are regarded as your own actions, and you should be legally responsible for all activities and events under the user account and all consequences arising therefrom responsibility.
(2) The user undertakes that all information and data provided during registration and during the use of services provided by HALO INTERACTIVE PTE. LTD. (collectively referred to as "information") are true and accurate, and will maintain and update information in a timely manner, especially the contact numbers and contact addresses provided , mobile phone number and other contact information so that HALO INTERACTIVE PTE. LTD. can effectively communicate with users; if the user's information needs to be updated, the user should follow the requirements or prompts of this software to update. If the information provided by the user is untrue, inaccurate, not updated, or the user cannot be contacted through the information, the user shall bear all the consequences caused by it, including any loss or loss caused by the user in the process of using the services provided by HALO INTERACTIVE PTE. LTD. Any additional costs shall also be solely borne by the user.
(3) If the user finds that the account has been illegally used by others, he should immediately notify HALO INTERACTIVE PTE. LTD. It is not ruled out on the Internet that the user account and password are illegally used by others due to hacking or user negligence. The user fully understands and agrees that such situations have nothing to do with HALO INTERACTIVE PTE. LTD., and HALO INTERACTIVE PTE. LTD. does not assume any responsibility for the occurrence of such situations. For any actions that occur under the user account due to the user's failure to maintain information security and confidentiality, the user shall bear full responsibility; if the HALO INTERACTIVE PTE. LTD. or any other user or visitor of the software suffers losses, the user shall be responsible for such loss’s liability.
(4) Users can cancel the previously registered account at any time. After the user cancels the account, HALO INTERACTIVE PTE. LTD. will stop providing products and services that rely on account login, and according to the user's needs, unless otherwise stipulated by laws and regulations, HALO INTERACTIVE PTE. LTD. will delete or anonymize the user's personal information. Therefore, the user understands and agrees that after the user cancels the account, HALO INTERACTIVE PTE. LTD. will not be able to recover any relevant information of the account.

In accordance with relevant laws and regulations, HALO INTERACTIVE PTE. LTD. hereby solemnly reminds users that any information, data, text, software, music, audio, photos, graphics, and videos transmitted through our services by uploading, posting, emailing or any other means , information or other materials (hereinafter referred to as " content " ), regardless of whether they are transmitted publicly or privately, are the responsibility of the content provider and uploader. HALO INTERACTIVE PTE. LTD. has no control over the content transmitted through our services and therefore does not guarantee the accuracy, completeness, or quality of the content. Users have foreseen that when using our services, they may be exposed to unpleasant, inappropriate, or disgusting content. In no event shall HALO INTERACTIVE PTE. LTD. be responsible for any content, including but not limited to any errors or omissions in any content, as well as any loss or damage arising from posting, emailing, or otherwise transmitting any content through our services. However, users can submit reports to HALO INTERACTIVE PTE. LTD. to report violating users, and HALO INTERACTIVE PTE. (10) Spreading obscenity, pornography, gambling, violence, terror or abetting crimes;
(11) Insulting or slandering others, infringing on the legitimate rights and interests of others;
(12) Violating other people's portrait rights, name rights, reputation rights, privacy rights or other personal rights;
(13) Using uncivilized language such as cursing, insulting, slandering, threatening, and cursing;
(14) Activities in the name of illegal civil organizations;
(15) Violating other people's copyrights, information network dissemination rights and other legitimate rights and interests;
(16) Used to implement illegal and criminal activities that infringe on the rights and interests of public and private property, such as fraud, non-sucking, fund-raising, and fraud.
(17) Contains other content prohibited by laws and administrative regulations.
Unless permitted by law or with the prior written consent of HALO INTERACTIVE PTE.
LTD., users shall not engage in the following behaviors during the use of the software and services:
(1) Delete information about copyright on the software.
(2) Reverse engineer, reverse assemble, decompile the Software, or otherwise attempt to discover the source code of the Software.
(3) Maliciously swiping orders or illegally attacking the Dubbing AI voice-changing network service, posing a threat to the stability of the Dubbing AI voice-changing products.
(4) Using, renting, lending, copying, modifying, linking, reprinting, compiling, publishing, publishing, and establishing mirror sites, etc., of content with intellectual property rights owned by HALO INTERACTIVE PTE. LTD. or its affiliated companies.
(5) Copy, modify, add, delete, or mount the software or the data released into any terminal memory during the running of the software, the interactive data between the client and the server during the running of the software, and the system data necessary for the running of the software Run or create any derivative works, including but not limited to using plug-ins, plug-ins or third-party tools / services not authorized by HALO INTERACTIVE PTE. LTD. software and services through third-party software, plug-ins, plug-ins, systems that are not developed and authorized by HALO INTERACTIVE PTE. LTD., or produce, publish, and disseminate the above tools;
(7) Interfere with the software and its components, modules and data by itself or authorizing others or third-party software.
(8) Other acts not expressly authorized by HALO INTERACTIVE PTE. LTD.
Unless permitted by law or with the prior written consent of HALO INTERACTIVE PTE.
LTD., users shall not engage in the following behaviors during the use of this software and services:
(1) Submitting or publishing false information or impersonating or using the name of others.
(2) Inducing other users to click on linked pages or share information.
(3) Fabricating facts and concealing the truth to mislead and deceive others.
(4) Infringe on other legal rights such as reputation rights, portrait rights, intellectual property rights, and trade secrets.
(5) Using the HALO INTERACTIVE PTE. LTD. account and any functions, as well as third-party operating platforms for promotion or mutual promotion without the written permission of HALO INTERACTIVE PTE. LTD.
(6) Using the account or the software and services to engage in any illegal and criminal activities.
(7) Produce and publish methods and tools related to the above acts, or operate or disseminate such methods and tools, regardless of whether these acts are for commercial purposes.
(8) Other acts that violate laws and regulations, infringe on the legitimate rights and interests of other users, interfere with the normal operation of the product, or are not expressly authorized by HALO INTERACTIVE PTE. LTD.

If the user violates any provision of this agreement, to maintain the image, reputation and safety of HALO INTERACTIVE PTE. LTD., HALO INTERACTIVE PTE. LTD. has the right to delete the relevant information posted by the user and block the ID and/or temporarily or permanently ban the user who violates the agreement. In the processing of information released by Dubbing AI voice change, at the same time, we reserve the right to pursue the legal responsibility of the parties in accordance with the law. In addition, after taking corresponding measures such as removal, HALO INTERACTIVE PTE. LTD. shall not be liable for breach of contract or other legal responsibilities to the original publisher, including not being liable for compensation for damages caused to the original publisher due to unfounded infringement allegations.

Users need to independently bear legal responsibility for their actions on the AI voice changer. If the user's behavior does not comply with this agreement, HALO INTERACTIVE PTE. LTD. has the right to make an independent judgment to immediately cancel the user's service account. If a user spreads and disseminates reactionary, pornographic, or other information that violates national laws on Dubbing AI Voice Changer, the system records of Dubbing AI Voice Changer may be used as evidence of the user's violation of the law.

HALO INTERACTIVE PTE. LTD. is not responsible for the deletion or storage failure of dubbing works made by users. HALO INTERACTIVE PTE. LTD. has the right to determine whether the user's behavior complies with the provisions of Chinese laws and regulations and the requirements of this agreement. If the user violates the provisions of Chinese laws and regulations or the provisions of this agreement, HALO INTERACTIVE PTE. LTD. has the right to suspend the provision of services to it.

4. Confidentiality and privacy protection

4.1 Unless otherwise stipulated in this agreement, without the consent of the user, HALO INTERACTIVE PTE. LTD. will not disclose or disseminate the user's information, dubbing and other content produced and released to the third party. HALO INTERACTIVE PTE. LTD. will take strict confidentiality measures to protect the user's information. Unauthorized access, use or disclosure.

4.2 The user understands and agrees that HALO INTERACTIVE PTE. LTD. will not be liable for any information leakage that is not caused by HALO INTERACTIVE PTE. LTD., such as natural disasters, theft, robbery, hacking, etc.

4.3 HALO INTERACTIVE PTE. LTD. no longer undertakes confidentiality obligations under the following circumstances:
(1) The information, voice and text manuscripts provided by users are made public due to non-HALO INTERACTIVE PTE. LTD. artificial reasons.
(2) When required by laws and regulations, administrative and judicial authorities, or other competent authorities require disclosure.
(4) Obtain the authorization of the user in advance.
(5) To detect, prevent or address fraud, security or technical issues.
(6) In order to implement relevant service agreements or this policy and safeguard social public interests;
(7) Reasonable and necessary purposes to protect the personal and property safety or other legitimate rights and interests of HALO INTERACTIVE PTE. LTD.'s customers, HALO INTERACTIVE PTE. LTD. or affiliated companies of HALO INTERACTIVE PTE. LTD., other users, or employees.

4.4 Once the user chooses to use the service, it means that the user recognizes and accepts the content of the privacy policy related to the service and the new version of the privacy policy that HALO INTERACTIVE PTE. LTD. may update and publish at any time. the works and content produced by registered users in Dubbing AI Voice Changer. User-made works and content refer to audio or any other form of content made by users on Dubbing AI Voice Changer, including text, pictures, links, etc.

Users use the software and services to publicly publish, disseminate, and share information such as pictures, text, and audio, which means that the user has the right and agrees to grant a permanent, irrevocable, and free license to HALO INTERACTIVE PTE. LTD. worldwide: Exercising the right to use, publish, reproduce, modify, adapt, publish, translate, create derivative works based on, disseminate, perform and display the information; to incorporate all or part of the information into any other form of work, media, technology ; the right to conduct commercial development of users' uploading and publishing information; provide information downloading, Rights to services such as on- demand broadcasting, data transmission, and related publicity and promotion.

5. Intellectual Property Rights Infringements

Among other Services, we provide a Voice Cloning Service that allows you to use our technology to synthesize voice recordings that sound like a Speaker by speaking ("Cloned Voice"). A “Speaker” is a person (including you) who has given the necessary licenses, rights, consents, releases and permissions to use recordings of their voice to train the Cloning AI and to synthesize and otherwise use their voice for the purposes of synthesizing speech.

To avoid any doubt, by Uploading Files or Recording to our Services, you confirm that:  You are the creator and owner of the Uploaded Files/Recordings or you have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us to use your Uploaded Files/Recordings in any manner contemplated by our Services, including for the purposes of Voice Cloning, and these terms
 You have the written consent, release, and/or permission of each and every identifiable individual person in your Uploaded Files/Recordings to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Uploaded Files/Recordings in any manner contemplated by our Services, including for purposes of Voice Cloning, and these terms
 You are solely responsible for Content Generated using Uploaded Files/Recordings you do not own or do not have permission to use.

6. Intellectual property

6.1 Copyright and other related rights related to this software (including all texts, charts, user interfaces, visual interfaces, pictures, trademarks, logos, sounds, music, artworks and computer codes contained in this software, including designs related to the foregoing , structure, selection, coordination, expression, "look and feel" and ordering, etc.) are owned by HALO INTERACTIVE PTE. LTD. and protected by copyright, trademark and / or other property ownership laws.

6.2 HALO INTERACTIVE PTE. LTD. does not undertake any guarantees or commitments regarding the applicability of the software and its suitability for the purpose of use by users, nor does it have any responsibility for the software and any text, graphics, audio and/or video materials contained in the software, or transmit or submit all or Delays, inaccuracies, errors and omissions arising in the course of partial information or any damages arising therefrom or resulting therefrom shall be legally liable in any form to the user or any third party.

6.3 Under the condition that the user abides by this agreement, HALO INTERACTIVE PTE. LTD. grants the user a personal, non-exclusive, non-transferable, limited right to use the software. Users can install, use, display, and run the licensed software on their own terminal equipment. However, without the prior express written consent of HALO INTERACTIVE PTE. LTD., the user shall not copy, reproduce, reprint, upload, publish, publicly display, code, Translate, transmit or distribute to any other computer, server, software, or other media.

6.4 All other rights not expressly authorized by this agreement are still owned by HALO INTERACTIVE PTE. LTD., and users must obtain additional written permission from HALO INTERACTIVE PTE. LTD. when exercising these rights. If HALO INTERACTIVE PTE. LTD. does not exercise any of the rights, it does not constitute a waiver of such rights.

7. Advertise

7.1 The user understands and agrees that in the process of using this product and service, HALO INTERACTIVE PTE. LTD. will send promotional messages for other products to the user, including but not limited to product promotion and other promotional information. Please fully understand the possible disturbance to the user understand.

7.2 HALO INTERACTIVE PTE. LTD. fulfills relevant obligations to advertisers in accordance with the provisions of the law and relevant cooperation agreements, but users should judge the authenticity of advertising information by themselves and be responsible for their own judgments. or the content provided by the advertisers, HALO INTERACTIVE PTE. LTD. shall not be liable for any loss or damage.

7.3 The user agrees that the user shall carefully judge the authenticity and reliability of the advertising information appearing in this product or service and shall be responsible for the transactions conducted based on the advertising information, except as clearly stipulated by law.

8. Third Party Products and Services

8.1 When using the product or service provided by a third party of this product, the user shall abide by the user agreement of the third party in addition to this agreement. HALO INTERACTIVE PTE. LTD. and the third party shall bear respective responsibilities for possible disputes within the scope stipulated and agreed by law.

8.2 When the user uses this product or requires HALO INTERACTIVE PTE. LTD. to provide specific services, this product may call a third-party system or support the user's use or access through a third party, and the results of use or access are provided by the third party (including but not limited to third-party Services provided through this software plug-in), HALO INTERACTIVE PTE. LTD. does not guarantee the security, accuracy, validity and other uncertain risks of services and content provided by third parties, and any disputes and damages arising from this have nothing to do with HALO INTERACTIVE PTE. LTD. , HALO INTERACTIVE PTE. LTD. does not assume any responsibility.

11. Modification or Termination of Services
HALO INTERACTIVE PTE. LTD. reserves the right to temporarily or permanently modify or terminate our services (or any part thereof) at any time, with or without notice. The user agrees that for any modification, suspension or termination of our services, HALO INTERACTIVE PTE. LTD. shall not be liable to the user or any third party. Unless otherwise clearly stipulated by laws and regulations, HALO INTERACTIVE PTE. LTD. has the right to directly refund the fees corresponding to the unfulfilled services to the user without the user's application; Directly handle the withdrawal of earnings for users in accordance with relevant rules.

12. Termination of service and handling of breach of contract

12.1 The user fully understands and agrees that if HALO INTERACTIVE PTE. LTD. discovers or receives reports or complaints from others that the user has violated relevant laws and regulations or the provisions of this agreement, HALO INTERACTIVE PTE. LTD. has the right to decide on its own according to the nature of the user's behavior without prior notice, and take measures including but not limited to suspending Or terminate the service, pursue legal responsibility, claim for total loss and other measures. The user understands that any violation of this agreement by the user may cause irreparable damage to HALO INTERACTIVE PTE. LTD. (money compensation cannot fully compensate for such damages) and agrees to obtain any injunctive relief or equivalent that it considers necessary or appropriate under the circumstances. relief. These remedies are in addition to any other remedies HALO INTERACTIVE PTE. LTD. may have under the law.

12.2The user agrees that HALO INTERACTIVE PTE. LTD. may, at its sole discretion and without prior notice, terminate the user's access to the software for the following reasons, including but not limited to:
（1） At the request of government departments and judicial authorities.
（2） Discontinuation or major modification of the Software or any services provided by the Software;
（3） Unforeseen technical problems.

12.3 The user fully understands and agrees that HALO INTERACTIVE PTE. LTD. has the right to deal with violations of relevant laws and regulations or the provisions of this agreement based on reasonable judgment, take appropriate legal actions and measures against users' violations of laws and regulations, and save relevant information to relevant parties in accordance with laws and regulations. Department reports, etc., the user shall solely bear all legal responsibilities arising therefrom.

12.3Any punishment, judgment, mediation, request, loss, liability, Claims, or expenses (including but not limited to fines, compensation, compensation, attorney fees, legal fees, appraisal fees, travel expenses, execution expenses, etc.), the user agrees to compensate HALO INTERACTIVE PTE. 12.4The user fully understands and agrees that HALO INTERACTIVE PTE. LTD.’s measures against the user based on the above remedies will not cause HALO INTERACTIVE PTE. LTD. to assume any breach of contract or any other possible responsibilities for the user. Choose to terminate this agreement or stop at HALO INTERACTIVE PTE. LTD.

After the service, HALO INTERACTIVE PTE. LTD. is not obliged to retain any information in or related to the original account for the user.

13. Jurisdiction and application of law

13.1 The entry into force, performance, interpretation, and dispute resolution of this service agreement shall be governed by the laws of the People's Republic of China.

13.2In case of any dispute regarding the content of this agreement or its implementation, it should be resolved through friendly negotiation as much as possible; if the negotiation fails, all parties to the dispute agree to submit the dispute to the people's court where HALO INTERACTIVE PTE. LTD. is located for litigation.

14. Other

14.1 users have any inquiries, comments, or suggestions during the process of using Dubbing AI voice changer, they can put forward through the built-in contact information of Dubbing AI voice changer, and the Dubbing AI voice change team will give you timely feedback, but the obligation to answer should not exceed A reasonable tolerance limit for HALO INTERACTIVE PTE. LTD. At the same time, you should ensure that your contact information is unblocked to receive calls or messages from HALO INTERACTIVE PTE. LTD. HALO INTERACTIVE PTE. LTD. will not be liable for any losses caused by your failure to receive the notification.

14.2If any provision of this agreement is wholly or partially invalid or unenforceable for any reason, the remaining provisions of this agreement shall still be valid and binding.

14.3This software and service are limited to use in mainland China. If the user uses it outside mainland China (especially the European Union) without authorization, HALO INTERACTIVE PTE. LTD. will not bear any responsibility arising therefrom.

14.4 This agreement will take effect from the date when the user agrees to check or sign online and successfully registers as a user of AI voice changer or uses AI voice change software or services, unless HALO INTERACTIVE PTE. LTD. terminates this agreement or the user loses the user qualification of AI voice changer, otherwise this Agreement remains in effect. The termination of this agreement does not exempt the user from the obligations and responsibilities assumed by this agreement or other relevant agreements and rules.

14.5The final interpretation of this agreement belongs to HALO INTERACTIVE PTE. LTD.
